BUFFALO GROVE RECREATION ASSOCIATION, INC.

Founded as a non-profit corporation with duly elected officers on the third day of January, 1961
ARTICLE 1 –  NAME
The name of the organization shall be the BUFFALO GROVE RECREATION ASSOCIATION. The authorized abbreviation shall be BGRA.

ARTICLE 2 –  PURPOSES
Section 1 – The new purpose of the organization shall be to promote, organize and conduct a baseball program for youth residing in the Village of Buffalo Grove and such adjacent areas as designated by the elected officers of the organization. The corporation is organized exclusively for charitable, educational, religious, or scientific purposes within the meaning of Section 501(C)3 Of the Internal Revenue Code.

Section 2- The purpose of the organization may be extended to include other recreation programs adopted by action of the Board of Directors.

ARTICLE 3 – MEMBERSHIP
Section 1 – Membership is automatically extended to duly registered players, or their parent/legal guardian if the player is under the age of 18, from the date of registration through the date of the Annual Membership Meeting following the completion of that program.

Section 2 – Membership may be extended to others, by action of the Board of Directors.

Section 3 – Membership may be suspended, terminated or reinstated by action of the Board of Directors.

ARTICLE 4 – OFFICERS
Section 1 – Officers of the organization shall consist of a President, 1st Vice President, 2nd Vice President, 3rd Vice President, 4th Vice President, 5th Vice President, 6th Vice President, 7th Vice President, 8th Vice President, 9th Vice President, 10th Vice President, 11th Vice President, Secretary and Treasurer.

Section 2 – Officers shall be elected at the Annual Membership Meeting and shall take office upon election. The BGRA President shall appoint a nominating committee each year to review and submit to the general membership at the annual meeting, a list of all BGRA members who have expressed interest in serving as a BGRA officer for the following year. A formal notice to all BGRA members announcing the nominating committee and nomination process must be posted at Emmerich Park a minimum of 6 weeks prior to the election. All interested candidates must submit their names to a member of the nominating committee no later than 30 days prior to the election. Under no circumstance will nominations be accepted after the 30 day period including the night of the annual membership meeting.

Section 3 – Associate Vice Presidents may be appointment to assist each Vice President. Associate Vice Presidents shall be non-voting members of the Board of Directors.

ARTICLE 5 – DIRECTORS
Section 1 – Directors shall be appointed to serve as the chief administrator of each league within the baseball program, subject to the guidelines established by the Board of Directors.

Section 2 – Associate Directors may be appointed to assist directors.

Section 3 – Directors shall be appointed to serve as the chief  administrator of any other recreational program adopted by the Board of Directors.

Section 4 – Directors and Associate Directors shall be appointed by the President subject to the approval of the Board of Directors, and shall serve during the term of the election officers.

Section 5 – Directors and Associate Directors shall serve as members of the Board of Directors. The number of voting  Directors so appointed shall not equal or exceed the number of elected officers. Non-number of voting Directors so appointed shall not equal or exceed the number of elected officers. Non-voting Directors and Associate Directors serve as members of the Board of Directors with a voice in all deliberations, but without a vote.

ARTICLE 6 – BOARD OF DIRECTORS
Section 1 – The governing Board of Directors shall consist of the elected officers and the voting Directors.

Section 2 – The Board of Directors shall establish all policies and rules not covered by these by-laws.

ARTICLE 7 – EXECUTIVE COMMITTEE
Section 1 – The Executive Committee shall be composed of the elected officers.

Section 2 – The Executive Committee shall be responsible for the business affairs of the organization.

ARTICLE 8 – OFFICERS
Section 1 – The President shall preside over meetings of the Executive Committee, the Board of Directors and the  membership; shall implement rules and policies established by the Board of Directors; and shall coordinate the activities of the officers and directors, and assign duties not otherwise  established by the by-laws or the Board of Directors. The President with the approval of the Executive Committee, shall  fill vacant elected and appointed positions, and shall declare  positions vacant for reasons of resignation, disability, nonfeasance  or malfeasance.

Section 2 – The 1st Vice President is responsible for all equipment.

Section 3 – The 2nd Vice President shall be responsible for registration, player drafts, rosters, player ratings and player  records.

Section 4 – The 3rd Vice President shall be responsible for game  and field schedules, field services and liaison with the Buffalo Grove Park District.

Section 5 – The 4th Vice President shall be responsible for  sponsors, book advertising and fundraising activities, and assembly of the yearbook and publishing said book.

Section 6 – The 5th Vice President shall be responsible for All Star games, trophies, home run contest, concession stand assignments,  and related duties to the All Star ceremonies, along with vendor  selection and organization of Picture Day.

Section 7 – The 6th Vice President shall be responsible for all uniforms.

Section 8 – The 7th Vice President shall be responsible for the training and coordination of umpires.

Section 9 – The 8th Vice President shall be responsible for the field maintenance of fields used by the organization and for the  coordination with the Buffalo Grove Park District staff.

Section 10 – The 9th Vice President shall be responsible for traveling team matters (tryouts, tournaments and manager selection).

Section 11 – The 10th Vice President shall be responsible for all aspects of the concession stand, including ordering, stocking of merchandise and scheduling the parent volunteers.

Section 12 – The 11th Vice President shall be responsible for all Post Regular Season Baseball activities including coordination with league directors on program offerings such as Fall Ball (House and Travel), Extended seasons, and Skills & Scrimmage league, as well as coordination with external leagues as necessary.

Section 13 – The Secretary shall be responsible for correspondence, meeting notices and minutes, membership  mailings, permanent records of the organization and administrator of league directors.

Section 14 – The Treasurer shall be responsible for all organization finances and insurance, including deposit and disbursement of funds, maintenance of record of income and expenditures, and issuance of regular reports thereof.

Section 15 – A majority of the Executive Committee shall determine who shall assume the responsibilities of the President in his absences and who shall succeed the President in the event of resignation, disability, or vacancy declared by the Executive Committee.

ARTICLE 9 – COMMITTEES
Section 1 – The President shall establish and appoint committees as required.

Section 2 – A nominating Committee shall be appointed to recruit capable persons as candidates for all elective offices prior to the Annual Membership Meeting.

ARTICLE 10 – MEETINGS
Section 1 – An Annual Membership Meeting shall be held for the election of officers and presentation of reports, on the second Monday of September unless otherwise scheduled by the Board of Directors.

Section 2 – An Annual Budget Meeting shall be held for presentation and approval of an Annual Budget, on the first Monday of December unless otherwise scheduled by the Board of Directors.

Section 3 – At least one additional membership meeting shall be held during the practice/playing season, as scheduled by the Board of Directors.

Section 4 – Notification of all such membership meetings shall be communicated to Membership at least seven days prior to the meeting, stating the time, place and purpose of the meeting, unless a schedule of such meetings is published on our website.

Section 5 – Meetings of the Executive Committee and the Board of Directors shall be called by the President, or by a majority of the members in writing to the President.

Section 6 – A quorum shall consist of a majority of members of the Executive Committee and a majority of the voting members of the Board of Directors, provided a majority of the elected officers are present. No quorum shall be required for membership meetings, provided required prior notice has been given.

ARTICLE 11 – BUDGET AND FINANCES
Section 1 – The Executive Committee shall prepare and present for approval of the Board of Directors and the membership an Annual Budget of estimated income and expenses for planned programs prior to registration each year.

Section 2 – Supplemental Budgets of estimated income and  expenses for other programs adopted subsequent to the presentation and approval of the Annual Budget must be presented for the approval of the Board of Directors.

Section 3 – The Executive committee is authorized to expend funds in accordance with the approved budget.

Section 4 – The budget year shall cover the period from January 1st to December 31st of each year.

Section 5 – Additional appropriation may be made by a two-third vote of the Executive Committee provided any necessary  adjustments are made to the budget to assure adequate funds for all expected expenditures.

Section 6 – The Treasurer shall prepare a written accounting of organization funds, including a statement of income and expenses during the budget year.

ARTICLE 12 – AMENDMENTS
These Bylaws may be amended at the Annual Membership Meeting by a majority of the vote of members  present.

ARTICLE 13 – DISSOLUTION
Section 1 – Upon the dissolution of the corporation, the Board of Trustees shall, after paying or making provisions for the payment of all the liabilities of the corporation, dispose of all the assets of the corporation exclusively for the purpose of the corporation in such manner, or to such organization nor organizations organized and operated exclusively for charitable, education, religious, or scientific purposes as shall at the time qualify as an exempt  organization or organizations under Section 501 (C)(3) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States Internal Revenue law), as the Board of Trustees shall determine. Any such assets not so disposed of shall be disposed of by the court of common pleas of the country in which the principal office of the corporation.
